Pickl Terms of Service & Official Rules

By accessing or using the Pickl platform ("Platform"), including any associated website, browser extension, mobile application, or Shopify integration (collectively, the "Services"), you ("you," "Participant," or "User") agree to be bound by these Terms of Service & Official Rules ("Terms"). If you do not agree, do not use the Services.
These Terms constitute a legally binding agreement between you and All Day Technologies, Inc., doing business as Pickl ("Pickl," "we," "us," or "our").
1. Definitions
- "Cashback" means a rebate earned on a qualifying purchase, calculated as a percentage of the verified purchase amount. Cashback is a rebate and is not a prize, award, or promotional bonus.
- "Pick" means a complimentary promotional selection tied to a real-world event outcome, offered at no cost to the Participant.
- "Boost Reward" means a promotional bonus awarded to a Participant whose Pick correctly corresponds to the outcome of the associated real-world event. Boost Rewards are funded entirely by Pickl from its operating budget.
- "Campaign" means a promotional offering that associates one or more qualifying merchants with a specific real-world event and defines the applicable Cashback and Boost Reward rates.
- "Event" means a real-world occurrence tracked via third-party prediction market data, the outcome of which determines Pick results.
- "Entry Deadline" means the date and time by which a Qualifying Purchase and associated Pick must be completed for a given Campaign, as displayed on the Campaign page. The Entry Deadline corresponds to the close of the associated Event.
- "Qualifying Purchase" means a verified purchase made through a participating merchant via the Platform that meets the applicable minimum purchase threshold and is completed before the applicable Entry Deadline.
2. Eligibility
To use the Services and participate in Campaigns, you must:
(a) Be a citizen or lawful permanent resident of the United States of America;
(b) Be at least twenty-one (21) years of age;
(c) Not be a resident of the states of New York, Florida, or Rhode Island;
(d) Have completed identity verification ("KYC") as required by the Platform; and
(e) Not be an employee, officer, director, or agent of All Day Technologies, Inc. or any of its affiliates, or an immediate family member or household member of any such person. Such persons may earn Cashback but are ineligible for Boost Rewards.
Pickl reserves the right to verify eligibility at any time and to disqualify any Participant who does not meet these requirements.
3. How Pickl Works
3.1 Cashback (Guaranteed Rebate)
When you make a Qualifying Purchase through a participating merchant via the Platform, you earn Cashback. Cashback is a rebate on your purchase.
Cashback is guaranteed. It is earned upon confirmation of your Qualifying Purchase and is not contingent upon participation in any Pick, the outcome of any Event, or any other promotional activity. The Cashback amount displayed to you at the time of purchase is the full amount you will receive. Cashback cannot be reduced, forfeited, or modified by any promotional outcome.
3.2 Picks (Free Promotional Activity)
Each Qualifying Purchase entitles you to one (1) complimentary Pick — a free promotional selection tied to a real-world Event. Picks are:
(a) Free. You pay nothing to make a Pick. There is no cost, fee, deduction, or consideration of any kind associated with making a Pick.
(b) Optional. Participation is entirely voluntary. You may decline to make a Pick without affecting your Cashback or any other benefit.
(c) Independent from Cashback. Your Pick does not affect, reduce, or otherwise modify your earned Cashback under any circumstances.
(d) Limited to one (1) per Participant per merchant per Campaign. Duplicate entries are not permitted.
(e) Subject to Entry Deadline. A Pick must be made, and the associated Qualifying Purchase must be completed, before the Entry Deadline for the applicable Campaign. Picks and purchases submitted after the Entry Deadline are not eligible for Boost Rewards. Cashback on purchases made after the Entry Deadline may still be earned if the Campaign's merchant remains a participating merchant.
3.3 Boost Rewards (Promotional Bonus)
If your Pick correctly corresponds to the verified outcome of the associated Event, you receive a Boost Reward.
Boost Rewards are funded entirely by Pickl from its operating budget. Boost Rewards are not derived from, deducted from, or in any way contingent upon your Cashback. The maximum Boost Reward per Event is six hundred dollars ($600.00).
If your Pick does not correctly correspond to the Event outcome, you receive no Boost Reward. You retain your full Cashback regardless of the outcome.
3.4 How Rewards Are Calculated
Cashback and Boost Reward amounts are determined by rates set for each Campaign at the time of your Qualifying Purchase. These rates are fixed at the time of your prediction and do not change retroactively. All reward calculations are final and determined solely by Pickl.
4. Event Resolution and Settlement
4.1 Event Outcomes
Events are resolved based on verified real-world outcomes sourced from third-party prediction market data. Pickl does not control, influence, or determine Event outcomes.
4.2 Settlement
Upon Event resolution, Pickl settles the associated Campaign:
(a) Picks matching the verified outcome are marked as won, and Boost Rewards are credited;
(b) Picks not matching the verified outcome are marked as lost, and no Boost Reward is issued;
(c) All Cashback remains unaffected by settlement.
4.3 Finality
All Event outcomes and settlement determinations are final. Pickl's determination of Event outcomes, based on third-party data sources, is conclusive and binding.
5. Accounts and Identity Verification
5.1 Account Registration
You must create an account to use the Services. You agree to provide accurate, current, and complete information and to keep your account information updated. You are responsible for all activity under your account.
5.2 Identity Verification (KYC)
Pickl requires identity verification before you may participate in Campaigns. You must provide your legal name, date of birth, and state of residence. Pickl reserves the right to request additional documentation at any time.
5.3 Account Security
You are solely responsible for maintaining the confidentiality of your account credentials. You must notify Pickl immediately of any unauthorized access or use of your account.
6. Qualifying Purchases and Merchant Transactions
6.1 Merchant Relationships
Purchases are made directly with participating merchants. Pickl is not a party to your transaction with any merchant. Pickl does not control merchant pricing, product availability, shipping, returns, or customer service.
6.2 Purchase Verification
Qualifying Purchases are verified through third-party affiliate tracking infrastructure. Verification may take up to seven (7) days from the date of purchase. Pickl is not responsible for delays or failures in third-party verification.
6.3 Refunds and Reversals
If a Qualifying Purchase is refunded, canceled, or reversed by the merchant or payment processor, the associated Cashback and any Boost Reward may be reversed. Pickl reserves the right to adjust or reverse rewards in cases of fraud, abuse, or purchase reversal.
7. Reward Redemption
7.1 Reward Balance
Earned Cashback and Boost Rewards are credited to your Pickl account balance. Rewards are available for redemption once credited.
7.2 Redemption Methods
Rewards may be redeemed through methods made available on the Platform, which may include promotional codes, account credits, or other mechanisms as determined by Pickl.
7.3 No Cash Value
Promotional codes issued by Pickl have no cash value, are single-use, non-transferable, and subject to expiration as specified at the time of issuance.
8. Tax Obligations
8.1 Tax Responsibility
You are solely responsible for any and all tax obligations arising from your participation in the Services, including Cashback and Boost Rewards.
8.2 Cashback Tax Treatment
Cashback earned through the Platform constitutes a rebate on qualifying purchases and is generally not considered taxable income. Pickl does not provide tax advice; consult a qualified tax professional regarding your individual circumstances.
8.3 Boost Reward Reporting
Pickl will issue IRS Form 1099-MISC to any Participant who receives six hundred dollars ($600) or more in aggregate Boost Rewards within a calendar year. Cashback rebates do not count toward this threshold. You may be required to provide a valid taxpayer identification number and complete applicable tax documentation (W-9 or W-8BEN) as a condition of continued participation.
9. Prohibited Conduct
You agree not to:
(a) Create multiple accounts or use false identity information;
(b) Use automated scripts, bots, or other programmatic means to interact with the Services;
(c) Manipulate, circumvent, or interfere with the Platform's tracking, verification, or fraud detection systems;
(d) Collude with other Participants or third parties to manipulate outcomes or exploit the Services;
(e) Make purchases solely for the purpose of earning rewards with the intent to return or reverse those purchases;
(f) Use the Services for any unlawful purpose or in violation of any applicable law or regulation;
(g) Reverse-engineer, decompile, or disassemble any part of the Services; or
(h) Attempt to gain unauthorized access to any part of the Services, other accounts, or systems.
Pickl reserves the right to suspend or terminate your account, forfeit any unredeemed rewards, and pursue legal remedies for any violation of this Section.
10. Intellectual Property
All content, software, trademarks, and other intellectual property associated with the Services are owned by or licensed to All Day Technologies, Inc. You are granted a limited, non-exclusive, non-transferable, revocable license to use the Services for personal, non-commercial purposes in accordance with these Terms. You may not copy, modify, distribute, or create derivative works from any part of the Services.
11. Disclaimers
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
PICKL DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. PICKL DOES NOT WARRANT THE ACCURACY OR COMPLETENESS OF ANY INFORMATION PROVIDED THROUGH THE SERVICES, INCLUDING THIRD-PARTY PREDICTION MARKET DATA.
PICKL DOES NOT ENDORSE, GUARANTEE, OR ASSUME RESPONSIBILITY FOR ANY THIRD-PARTY PRODUCTS, SERVICES, OR MERCHANTS AVAILABLE THROUGH THE PLATFORM.
12. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL ALL DAY TECHNOLOGIES, INC., ITS PARENT COMPANIES, SUBSIDIARIES, AFFILIATES, AND THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, LICENSORS, AND SERVICE PROVIDERS (COLLECTIVELY, THE "PICKL PARTIES") BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SERVICES, REGARDLESS OF THE THEORY OF LIABILITY.
THE AGGREGATE LIABILITY OF THE PICKL PARTIES FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE GREATER OF (A) THE TOTAL AMOUNT OF CASHBACK AND BOOST REWARDS CREDITED TO YOUR ACCOUNT IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100.00).
THIS LIMITATION OF LIABILITY DOES NOT APPLY TO YOUR EARNED CASHBACK, WHICH REMAINS PAYABLE IN ACCORDANCE WITH SECTION 3.1.
13. Indemnification
You agree to indemnify, defend, and hold harmless the Pickl Parties from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your use of the Services; (b) your violation of these Terms; (c) your violation of any applicable law or regulation; or (d) your violation of any third-party rights.
14. Dispute Resolution
14.1 Binding Arbitration
PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT.
You and Pickl agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Services ("Dispute") shall be resolved exclusively through final and binding individual arbitration, rather than in court, except as set forth in Section 14.5. Arbitration shall be administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules then in effect.
14.2 Class Action Waiver
YOU AND PICKL AGREE THAT EACH PARTY MAY BRING DISPUTES AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. The arbitrator may not consolidate more than one person's claims and may not preside over any form of class or representative proceeding. If this class action waiver is found to be unenforceable, then the entirety of this arbitration agreement shall be null and void.
14.3 Arbitration Procedures
The arbitration shall be conducted in the State of Delaware. The arbitrator shall apply Delaware law consistent with the Federal Arbitration Act. The arbitrator's award shall be final and binding and may be entered as a judgment in any court of competent jurisdiction. Each party shall bear its own costs, except that Pickl shall pay all AAA filing, administration, and arbitrator fees for claims under ten thousand dollars ($10,000).
14.4 Opt-Out Right
You may opt out of this arbitration agreement by sending written notice to Pickl within thirty (30) days of first accepting these Terms. The notice must include your name, account identifier, and a clear statement that you wish to opt out of the arbitration agreement. If you opt out, the governing law and venue provisions of Section 15 shall apply.
14.5 Exceptions
Notwithstanding the foregoing, either party may bring an individual action in small claims court for Disputes within the court's jurisdictional limits. Either party may seek injunctive or equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement or misappropriation of intellectual property rights.
15. Governing Law and Venue
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law principles. For any Disputes not subject to arbitration, you consent to the exclusive jurisdiction and venue of the state and federal courts located in the State of Delaware.
16. Modifications
Pickl reserves the right to modify these Terms at any time. Material changes will be posted with an updated effective date. Your continued use of the Services after the effective date of any modification constitutes your acceptance of the modified Terms. If you do not agree to the modified Terms, you must discontinue use of the Services.
17. Termination
17.1 By You
You may terminate your account at any time by contacting Pickl. Termination does not forfeit earned and unredeemed Cashback, subject to identity verification and compliance with these Terms.
17.2 By Pickl
Pickl may suspend or terminate your account and access to the Services at any time, with or without cause, and with or without notice. In the event of termination for violation of these Terms, Pickl may forfeit any unredeemed Boost Rewards. Earned Cashback will be paid out in accordance with Section 3.1, subject to fraud review.
18. General Provisions
18.1 Entire Agreement
These Terms, together with the Privacy Policy, constitute the entire agreement between you and Pickl regarding the Services and supersede all prior agreements and understandings.
18.2 Severability
If any provision of these Terms is found to be invalid or unenforceable, that provision shall be enforced to the maximum extent permissible, and the remaining provisions shall remain in full force and effect.
18.3 Waiver
The failure of Pickl to enforce any provision of these Terms shall not constitute a waiver of that provision or any other provision.
18.4 Assignment
You may not assign or transfer your rights or obligations under these Terms without Pickl's prior written consent. Pickl may assign its rights and obligations without restriction, including in connection with a merger, acquisition, or sale of assets.
18.5 Force Majeure
Pickl shall not be liable for any failure or delay in performance resulting from causes beyond its reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, pandemics, government actions, or failures of third-party services.
18.6 No Third-Party Beneficiaries
These Terms do not create any third-party beneficiary rights in any person or entity.
18.7 Notices
Pickl may provide notices to you through the Platform, by email to the address associated with your account, or by other reasonable means. Notices are effective upon delivery.
19. Linked Terms
These Terms apply to all Campaigns, Events, and promotional activities offered through the Platform. Each Campaign page shall include a link to these Terms. By participating in any Campaign, you acknowledge that you have read, understood, and agree to be bound by these Terms.
